Article 1. General Provisions

Section 1 (Title)
The name of this corporation shall be The Korean Audiological Society.
Section 2 (Office)
The office of The Korean Audiological Society is located in Seoul, Korea. If necessary, the office may be relocated to a local area.
Section 3 (Purpose)
The purpose of the Society is to promote improvement and development in the field of audiology and friendly relationships among members.
Section 4 (Roles)
The Society carries out the following in order to achieve its goals.
  1. Host conferences, academic symposiums, lectures, etc.
  2. Publish the Society's journal and other journals.
  3. Plan and research on ways to advance the academic field of audiology and improve peoples' health.
  4. Take any other necessary measures to achieve the goal of the Society.

Article 2. Membership

Section 5 (Composition)
The Society will be comprised of the following members.
  1. Full members : ① M.D. in Korea or ② anyone with a Master's degree or higher pertinent to the field of audiology
  2. Associated members :
    ① Specialist of otolaryngology
    ② Holder of post-Bachelor’s degree and working in fields relevant to audiology or audiological research
    ③ Members who have completed the audiologist training program of the Korean Society of otorhinolaryngology-head and neck surgery and have been admitted by the Board of Trustees with recommendation from at least one Trustee member.
  3. Honorary members : M.D. physicians whose interests are aligned with the Society and thus will make definite commitment to the field of medicine or significantly contribute to the development of the Society with recommendations from two or more board members
  4. Senior member : a member of 65 years old or older is considered a senior member of the Society (exempt from annual membership fee)
Section 6 (Eligibility)
Any individual who wishes to enter the Society must fill out the prescribed application form and submit the initiation fee and membership fee, and is accepted as a member upon approval of the meeting of Executive Members.
Section 7 (Duties)
Members are required to pay membership dues and are obligated to actively participate in achieving the goals of the Society and to execute the duties of the Society.
Section 8 (Rights)
  1. Full members have the right to speak, vote and be elected at general assembly, and have the right to access various publications of the Society and obtain proof of membership.
  2. Associated members have all of the same rights, excluding the right to vote and to be elected, as do full members.
Section 9 (Termination of membership and Probation)
  1. Any member of the Society who does not fulfill the duties listed in Section 7 without justifiable cause for two consecutive years is subject to membership termination after review by the Board of Trustees.
  2. Any member of the Society who deliberately obstructs the management of the Society or impugns the honor of the Society is subject to expulsion after review by the Board of Trustees.

Article 3. Executive Members

Section 10 (Composition and Term)
Executive members for managing the Society are as follows.
  1. President (The President cannot serve two consecutive terms or be reappointed.)
  2. President-elect, Vice President
  3. Approximately 10 executive members (secretary, planning, academics, publication, education, information, recruitment, duties, special, finance, etc.)
  4. Auditor
  5. The term for President, President-elect, vice president and each executive member is two years. An executive member resulting of by-election serves for the remaining term.
Section 11 (Duties of Executive Members)
  1. The President represents the Society, serves as Chair of the Board of Trustees and oversees affairs of the Society.
  2. In case of accident or vacancy of the President, the President-elect performs the duties of the President, and if without fault, succeeds to the office of President after serving one term.
  3. Executive members aid the President in managing affairs of the Society. If necessary, an affiliated committee may be established.
  4. The Auditor supervises affairs and finances of the Society.
Section 12 (Election of Executive Members)
  1. The President, President-elect and Auditor of the Society are nominated by the Board of Trustees of full members, and are approved by the General Assembly.
  2. The President appoints executive Members among full members.
Section 13 (Composition of the Board of Trustees
  1. The President selects members who have served as an Executive Member of the Society.
  2. The President can select a number of full members as Trustees.
  3. Approximately 30 members serve on the Board of Trustees.
  4. The term of serving on the Board of Trustees is 2 years, and members may serve consecutively or be reappointed.
  5. Members may serve both on the Board of Trustees and as an Executive Member.

Article 4. Meetings

Section 14 (General Assembly)
  1. A regular General Assembly is convened annually. At the request of the President and a majority of the Board of Trustees, a temporary General Assembly may be convened.
  2. With the President as Chair, the General Assembly ratifies the Society’s affairs, budget and balance accounts, and amendments to bylaws, and makes decisions on important issues regarding the management of the Society.
  3. The General Assembly is composed of persons present, and resolutions are reached by the vote of the majority present.
Section 15 (The Board of Trustees Meeting)
  1. The Board of Trustees meetings are divided into regular meetings and provisional meetings.
  2. Regular meetings of the Board of Trustees are convened twice annually, and provisional meetings are summoned by the President at the request of five or more members of the Board of Trustees or the President.
  3. All meetings of the Board of Trustees are composed of a majority of the Board of Trustees, and resolutions are reached by the vote of 2/3 of those present.
Section 16 (Resolutions of the Board of Trustees Meeting)
  1. Election of the next President and Auditor
  2. Issues regarding business planning, budget compilation, and budget ratification
  3. Issues regarding conferences of the Society
  4. Issues regarding the publication of the Society
  5. Issues regarding recruitment confirmation, modifications to membership rights, and rewards and repercussions
  6. Issues regarding ratification of full membership and honorary membership
  7. Issues regarding modification of bylaws
  8. Any other important issues raised by the President

Article 5. Finances

Section 17 (Finances)
Finances of the Society are funded by membership dues, initiation fees and donations, with membership dues and initiation fees being set by the Board of Trustees.
Section 18 (Fiscal Year)
The fiscal year of the Society begins on the day after the annual General Assembly and ends on the day of annual General Assembly in the following year.

Article 6. Supplementary Provisions

Section 19 (Rules)
Miscellaneous items not outlined in the Bylaws follow general convention.
Section 20 (Detailed Enforcement Regulations)
The detailed enforcement regulations of each division of the Society are determined by the Board of Trustees when necessary.
Section 21 (Date of Enforcement)
Upon being passed at the General Assembly and ratified by the Korean Audiological Society, the Bylaws are effective immediately.
